Terms of Service

1. Introduction

Welcome to Branded Head Shots. These Terms of Service ("Terms") govern your access to and use of the Branded Head Shots website, services, and applications (collectively, the "Service"). The Service is provided by Lima Labs Ltd. ("Lima Labs", "we", "us", or "our"), a company registered in Israel with its principal place of business in Tel Aviv.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Definitions

"Account" means a unique account created for you to access our Service or parts of our Service.

"Content" refers to any information, data, text, photos, graphics, or other materials which you may create, upload, post, send, receive, or store on or through the Service.

"Organization" refers to a company or entity that has registered to use the Service for its team members.

"User" refers to the individual who accesses or uses the Service, whether as an individual or on behalf of an Organization.

3. Account Registration

To use certain features of the Service, you must register for an account. You must provide accurate, current, and complete information during the registration process and keep your account information up-to-date.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Subscription and Payments

Some aspects of the Service are provided on a subscription basis. Payment terms will be specified during the purchase process. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.

Subscription fees are billed in advance on a monthly or annual basis based on your selected plan. Unless you cancel your subscription before the end of the current billing period, we will automatically renew your subscription and charge the applicable fees to your payment method.

You may cancel your subscription at any time through your account settings or by contacting our customer support team. Upon cancellation, your subscription will remain active until the end of your current billing period.

5. Free Trial

We may, at our sole discretion, offer a free trial period for certain subscription plans. If you are on a free trial, you will be automatically charged for a subscription at the end of the trial period unless you cancel before the trial expires.

6. Content

Our Service allows you to upload, store, and share content, including photos and images. You retain all rights to your content, but you grant Lima Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to the content you upload, and that such content does not violate the rights of any third party or any applicable law or regulation.

7. Prohibited Uses

You agree not to use the Service:

• In any way that violates any applicable law or regulation.
• To impersonate or attempt to impersonate Lima Labs, a Lima Labs employee, or any other person.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm Lima Labs or users of the Service.
• To upload or transmit viruses, malware, or other types of malicious software, or any content that may interfere with the Service.
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.
• To generate or process images that are illegal, harmful, fraudulent, or offensive.

8. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Lima Labs and its licensors. The Service is protected by copyright, trademark, and other laws of Israel and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Lima Labs.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

10. Limitation of Liability

In no event shall Lima Labs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
